What is the ultimate beneficiaries declaration?

Corporate transparency rules require corporations to identify the natural persons who really control them. In Québec, ultimate beneficiaries must be declared to the enterprise registrar. Federally, the corporation must keep a register of individuals with significant control and send it to Corporations Canada.

The service is $249 plus taxes per regime, for a total of $286.29. The declaration to the Québec registrar and the federal register are two separate services: if your corporation is subject to both, order both options.

Generally, a natural person who holds, directly or indirectly, 25% or more of the voting rights or of the fair value of the corporation’s securities, or who exercises significant influence over it. Each regime has its own criteria, which we apply to your situation.

The great majority of business corporations are: corporations registered in Québec for the declaration to the registrar, and federal corporations for the register of individuals with significant control. Some exceptions exist, notably for listed corporations.

Penalties can apply and the corporation’s file may be treated as in default, with everything that follows. Coming into compliance quickly remains the best protection.

Part of the information is published, depending on the applicable regime. Some sensitive particulars, such as residential addresses in a number of cases, are protected. We tell you what will be visible before filing.

Any change must be declared within the time limits set by the applicable regime. Our update service and our Annual compliance kit keep this information current without your having to think about it.
